ACCEPTANCE OF TERMS
By accessing or using the website at adelumo.com or engaging the services of Adelumo Digital Ltd, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
SERVICES
Adelumo Digital Ltd provides search engine optimisation, local SEO, technical SEO, Google Business Profile management, reputation management and related digital marketing services to established businesses. The specific scope, deliverables and pricing of services will be outlined in a separate service agreement or proposal provided to each client prior to engagement.
CLIENT RESPONSIBILITIES
As a client of Adelumo Digital Ltd, you agree to provide accurate and complete information about your business, grant us necessary access to your website, Google accounts and other platforms required to deliver our services, review and approve content and recommendations within agreed timeframes, and communicate any changes to your business that may affect our work in a timely manner.
PAYMENT TERMS
All fees for our services are due as outlined in your service agreement. We reserve the right to suspend or terminate services if payment is not received within the agreed timeframe. All fees are non-refundable unless otherwise stated in writing. Adelumo Digital Ltd reserves the right to adjust pricing with 30 days written notice.
INTELLECTUAL PROPERTY
All content, strategies, reports and deliverables produced by Adelumo Digital Ltd remain our intellectual property until full payment has been received. Upon receipt of full payment, ownership of client-specific deliverables transfers to the client. Our proprietary processes, methodologies and tools remain the exclusive property of Adelumo Digital Ltd at all times.
CONFIDENTIALITY
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, client data, pricing and any information designated as confidential. This obligation survives the termination of our agreement.
LIMITATION OF LIABILITY
To the fullest extent permitted by law, Adelumo Digital Ltd shall not be liable for any indirect, incidental, special or consequential damages arising from your use of our services or website. Our total liability to you for any claims arising under these terms shall not exceed the total amount paid by you to us in the three months preceding the claim.
TERMINATION
Either party may terminate the service engagement with 30 days written notice. Upon termination, all outstanding fees become immediately payable. We reserve the right to terminate services immediately if a client violates these terms or engages in any activity that could harm our reputation or operations.
GOVERNING LAW
These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
CHANGES TO TERMS
We reserve the right to update these Terms of Service at any time. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.
